Website Design & Digital Marketing Services Agreement

These Terms & Conditions govern all services provided by Scaled Trades ("we," "us") to the client ("you"). By approving a quote, you agree to the terms below.
1. Services Provided
Scaled Trades provides custom website design and digital marketing services for trade businesses, delivered under one of three service tiers: Essentials, Professional, or Premier. The specific scope, deliverables, and turnaround time for your project are set out in your individual Quote.
2. Quotes & Approval
A project begins once you have reviewed and approved your Quote via our approval form. Approval confirms that you agree to the scope, price, and turnaround time as quoted. Work does not begin before approval is received.
3. Payment Terms
- Invoices are due within 7 days of the invoice date.
- Payment is accepted via credit/debit card (Stripe) or e-transfer.
- Late payments may result in a pause on active work until the account is brought current.
- Retainer clients are billed automatically on a monthly recurring basis.
4. Revisions
Each project includes revisions based on tier: 1 round (Essentials), 2 rounds (Professional), or 3 rounds (Premier), following delivery of the initial build. All revision requests must be submitted within 7 days of build delivery / deployment.
5. Turnaround Times
Turnaround times begin once all required content (text, images, logos) has been provided by the client. Delays in providing content may extend the timeline accordingly.
6. Retainer Terms
Retainer services are billed monthly and continue until cancelled. Upon cancellation, service continues through the remainder of the current billing period, after which the retainer terminates. Retainer fees already charged are non-refundable.
Where a client's website includes Cal.com booking (standard at every tier as of August 2026), the retainer fee covers Scaled Trades' labor managing the Cal.com workspace on the client's behalf. It does not cover the Cal.com subscription itself (see Section 7) or any change that adds a capability beyond what was built at delivery (see Section 4, Revisions).
7. Third-Party Scheduling Subscription
Cal.com — the scheduling platform used for booking, calendar sync, and (at Professional and Premier tiers) automated routing and reminders — is a third-party service billed directly to the client by Cal.com, under the client's own account, separately from Scaled Trades' invoices.
- Essentials: Cal.com Free plan, no charge.
- Professional: Cal.com Teams plan, billed per user — one seat, the client's.
- Premier: Cal.com Organizations plan, billed per user — one seat, the client's, increasing if the client adds crew members as additional bookable staff.
Current plan pricing is published at Scaled Trades' own Service Models reference and is set by Cal.com, not Scaled Trades; it may change over time. Scaled Trades will flag any material pricing change it becomes aware of while managing the account but is not responsible for Cal.com's pricing decisions.
Scaled Trades manages the client's Cal.com workspace under the client's own login, provided by the client, at every tier — there is no separate Scaled Trades account or seat on the client's Cal.com plan. The client may change their Cal.com password at any time to end Scaled Trades access to the workspace under the retainer; access resumes once updated credentials are provided.
8. Client Responsibilities
You agree to provide all necessary content (text, images, logos, account access where applicable) in a timely manner, and to respond to requests for feedback or approval within a reasonable time to avoid project delays.
9. Ownership & Intellectual Property
Upon full payment, ownership of the final delivered website transfers to you. Scaled Trades retains the right to showcase completed work in its own portfolio and marketing materials unless otherwise agreed in writing.
10. Cancellation & Refunds
Turnkey projects cancelled after work has begun are billed for work completed to date. Refunds, where applicable, are issued at the discretion of Scaled Trades.
11. Limitation of Liability
Scaled Trades is not liable for indirect, incidental, or consequential damages arising from the use of the delivered website or services. Our total liability under any project is limited to the amount paid for that project.
12. Governing Law
These terms are governed by the laws of the Province of Alberta, Canada.
